Tod V. Mongan

Mr. Mongan is a highly qualified legal professional with more than 25 years of experience in legal, administration, corporate governance and strategic planning for public, high-tech companies in the software, hardware and service sectors.

His practice includes experience in complex domestic and international transactions, regulatory compliance, corporate asset acquisitions and divestitures, business transactions and risk analysis. He also handles contract negotiations and preparation, corporate governance, employment, intellectual property, SEC and NYSE/NASDAQ reporting and compliance, and corporate benefits.
Prior to joining the Roach Law Group, Mr. Mongan was with Phillips & Reiter, PLLC. At Phillips & Reiter, Mr. Mongan represented companies that ranged from star-ups to mid-sized public companies in all areas including entity formation, capital funding, SEC reporting, complex business transactions, employment matters, as well as advising in day-to-day operations.

Prior to Phillips & Reiter, Mr. Mongan was Senior Vice President, General Counsel and Secretary for Carreker Corporation, a provider of integrated consulting and software solutions with more than 250 global bank clients. Mr. Mongan was responsible for Sarbanes-Oxley compliance, corporate governance, federal securities reporting and compliance, employment issues and software licensing issues.

While at Carreker, Mr. Mongan instituted corporate-wide Sarbanes-Oxley compliance, including disclosure committee, certification procedure, governance committee and pre-approval process for auditor fees. In addition, he led the management team in a special committee investigation by the board of directors including the engagement of special counsel and forensic audit firms.

Prior to joining Carreker, Mr. Mongan was Chief Administrative Officer and Senior Vice President, General Counsel and Secretary for BancTec, Inc., a worldwide provider of comprehensive enterprise content management, image capture devices, infrastructure support services and payment processing solutions.

During his tenure at BancTec, he was responsible for legal, human resources, internal audit, facilities, security and information technologies, and was part of the senior management team that grew BancTec from $11 million to more than $650 million in revenue at the end of 1999. That same year, Mr. Mongan led a team that negotiated the sale of the company to a New York based leverage buyout firm. His team was responsible for negotiating merger agreements, drafting loan documents and preparing and filing all Securities and Exchange Commission documents. While at BancTec, the company completed two public offerings of stock, over twenty acquisitions, numerous bank financings and the issuance of public debentures.

Prior to obtaining his law degree, Mr. Mongan spent nine years as a senior systems engineer and computer programmer.

In addition to a Doctor of Jurisprudence, Mr. Mongan holds a Bachelor of Science degree in mathematics and a Master of Science degree in engineering (computer science). He was admitted to the Texas Bar in 1982.
